Regulation is one field among several. Across a company's life cycle I build the order it runs on — from the first contract through the financing round to restructuring, in German and Swiss law. What connects these fields is the same core: recognising the order a complex situation is missing, and building it with you.

Contracts & contract architecture

Whole contract systems instead of single documents — framework agreements, distribution (B2B/B2B2B), OEM and supply chain, licences, executive and managing-director contracts. With a purpose per clause and a negotiation playbook.

A typical situation: a vendor moves distribution from an integrator model to direct sales — an eleven-part contract package, re-architected, including what stays in the negotiation and what can be given away cheaply.

Corporate, M&A & transactions

Shareholding structures, shareholders' agreements, cap table, legal due diligence, data rooms, mergers, financing — from the structure to the signature-ready contract.

That's why I always work the same way.

Always in the same order: first recognise where you stand, then understand what's behind it — and only then decide and steer. I reconstruct your structure from the perspective of whoever will examine it, and test it under load. Investor, buyer, auditor, the next generation — the questions are predictable. The answers have to be too.
